• • Pay all fees in accordance with the agreed payment schedule
• • Respond promptly to requests for feedback or approvals
• • Ensure your products/services comply with advertising policies

4. Payment Terms

Payment terms are as follows:

• • Monthly services are billed in advance
• • Setup fees are due before work commences
• • Ad spend is additional and billed directly by the platform
• • Late payments may result in service suspension
• • Refunds are subject to our refund policy

5. Service Level Agreement

We commit to:

• • Monitor campaigns during business hours (Monday-Friday, 9 AM - 6 PM EST)
• • Provide monthly performance reports
• • Respond to client inquiries within 24-48 hours
• • Maintain campaign performance to industry standards
• • Implement approved optimizations within agreed timeframes

6. Intellectual Property

All original creative materials, strategies, and intellectual property developed specifically for your campaigns remain your property. However, we retain the right to use anonymized case studies and performance data for marketing purposes, with your consent.

7. Confidentiality

We agree to maintain the confidentiality of all proprietary information, business strategies, and performance data shared during our engagement. This includes but is not limited to campaign performance, business metrics, and strategic plans.

8. Limitation of Liability

Our liability is limited to the amount paid for services in the preceding 12 months. We are not responsible for lost profits, consequential damages, or issues arising from platform policy changes, account suspensions, or external factors beyond our control.

9. Termination

Either party may terminate this agreement with:

• • 30 days written notice for ongoing services
• • Immediate termination for breach of contract
• • Upon completion of project-based work

Upon termination, we will provide final reports and transfer campaign assets as appropriate.

10. Platform Policy Compliance

We adhere to all advertising platform policies (Facebook, Google, etc.). Account suspensions or policy violations may require campaign adjustments or pauses. We are not liable for platform policy changes that affect campaign performance.

11. Performance Expectations

While we strive for optimal results, marketing performance can be influenced by various factors including market conditions, competition, seasonality, and external economic factors. We do not guarantee specific results but commit to industry best practices and continuous optimization.

12. Dispute Resolution

Any disputes arising from this agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney fees and costs.

13. Modifications

We reserve the right to modify these terms at any time. Changes will be communicated via email and posted on our website. Continued use of our services constitutes acceptance of modified terms.

14. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the United States and the state in which our business is incorporated, without regard to conflict of law provisions.
